Effective date: the date stated in Schedule C
Governing law: the laws of the Hashemite Kingdom of Jordan
Controlling language: Arabic. This English text is a translation with identical numbering and substance; if they differ, the Arabic text prevails.
Operator: «شركة السوق المتكامل للتجارة الرقمية / ذات مسؤولية محدودة» (a Jordanian limited liability company) — Companies Control Department registration number: 84182 — National Establishment Number: 200215658 — capital: JOD 1,000 — seat: Amman, Jordan.
Article 1 — Parties, definitions and interpretation
1.1 Parties. This Agreement is made between: (a) «شركة السوق المتكامل للتجارة الرقمية / ذات مسؤولية محدودة», a limited liability company registered with the Companies Control Department of the Hashemite Kingdom of Jordan under registration number 84182, National Establishment Number 200215658, with a capital of JOD 1,000 and its seat in Amman, which operates the FAWRAN (فورا) platform ("FAWRAN"); and (b) the natural or legal person who registers to sell on the Platform and is accepted for that purpose (the "Seller").

1.3 Interpretation. Headings are for convenience and do not affect interpretation. "Including" and similar words are without limitation. A reference to a law includes its amendments and the regulations and instructions issued under it.
Article 2 — Structure, incorporated documents and precedence
2.1 Master agreement. This Agreement is the master contract governing the Seller's sales through the Platform. The Supplementary Documents listed in Part 1 of Schedule B form an integral part of it in the version displayed at acceptance and in any later version that takes effect under Article 29, and the acceptance record keeps each document's identifier, version and content fingerprint.
2.2 Reference copy. The reference copy of each document is the one published at the address given for it in Schedule B. The Seller is not bound by a document that was available to it neither at its reference address nor in the Seller Portal at the time of acceptance.
2.3 Precedence. In case of conflict the following order applies: (1) mandatory law; (2) this Agreement; (3) a Special Rate Card, for the fees it covers; (4) the Pricing Page, for fee amounts; (5) the other Supplementary Documents.
2.4 Buyer-facing documents. The terms and policies addressed to Buyers are not part of this Agreement, but the Seller must observe them as a minimum in its dealings with Buyers.
Article 3 — Registration and eligibility
3.1 Eligibility. The Seller must have full legal capacity and hold every registration, licence and permit the law requires for its legal form, activity and Items, including a commercial registration where the law requires one. The Seller Portal shows the categories of sellers accepted.
3.2 Accurate information. The Seller must provide true and complete information and keep it up to date, including its legal name, registration, tax number, beneficial owners, authorised signatory, payout destination and contact details.
3.3 One business, one identity. Stores belonging to the same business are linked to the same registered identity. Using the same registration, tax number or identity document across several accounts to evade a restriction, measure or liability is a material breach of this Agreement. Performance, compliance and enforcement measures taken in respect of one of those stores may be taken into account in respect of the others.
3.4 Refusal. FAWRAN may refuse registration on an objective ground, such as missing or inconsistent information, a legal requirement or a risk control, and will state the reason unless the law prohibits disclosing it.
Article 4 — Seller representations and warranties
On acceptance and throughout this Agreement, the Seller represents and warrants that: (a) it validly exists and is authorised to enter into and perform this Agreement, and the person accepting on its behalf is authorised to bind it; (b) it holds every licence, registration and permit needed for its activity and Items; (c) its Items are genuine, safe, lawful and as described, and it owns them or is entitled to sell them; (d) its Listings and content do not infringe any third-party right, including intellectual property rights; (e) it complies with all applicable laws, including consumer protection, tax and anti-money-laundering laws; and (f) the information and documents it provides are true, complete and not misleading.
Article 5 — Account and authorised users
5.1 Account ownership. The account and each store in it belong to the Seller as a business, not to any individual user. The "Account Owner" is the Seller's registered legal representative or, until the Seller designates its legal representative in the Seller Portal, the person who registered the store, whom the Seller confirms it authorised to do so.
5.2 Authorised users. The Account Owner adds authorised users and sets their roles in the Seller Portal. The Seller is bound by every act done within those roles and must remove a person's access as soon as that person stops acting for it.
5.3 Accepting legal documents. Only the Account Owner, the legal representative or a user designated in the Seller Portal as an authorised signatory may accept this Agreement or any legal document on the Seller's behalf. The person accepting confirms their authority to bind the Seller, and FAWRAN records the basis of that authority.
5.4 Security. The Seller is responsible for its login credentials and for all activity in its account, and must notify FAWRAN immediately of any unauthorised use. FAWRAN may suspend an individual user's access to protect the account and will tell the Account Owner why.
5.5 Change of control and transfer. The Seller must notify FAWRAN of any change in its ownership, control or legal representative. The account may be transferred to another business only with FAWRAN's written consent and after new verification.
5.6 Account deletion. A deletion request is handled under the Seller Account Deletion Policy. Neither deletion nor a request for it ends existing obligations, and while the request is pending the Seller remains bound to fulfil, or cancel and refund, existing Orders. Deletion does not extinguish the Seller's right to its Seller Balance, and the balance remaining after final settlement is paid under clause 17.8 before the payout details are erased.
Article 6 — Verification
6.1 Verification is mandatory. Every Seller must complete Full Verification, covering the identity of the owner, legal representative and authorised signatory; the commercial registration where the law requires it; licences for regulated Items; beneficial owners at the disclosure threshold published in the Seller Portal (25% of ownership or voting rights unless the Seller Portal states a lower threshold); a payout destination in the Seller's own name; and tax details where the law requires them.
6.2 Checks. The Seller authorises FAWRAN to verify its identity, business and documents, to screen them against sanctions and fraud lists, and to request further documents at registration and afterwards as reasonably required by law, by payment service providers' requirements or by risk controls.
6.3 Valid documents and re-verification. The Seller must keep its documents valid and replace expiring ones. FAWRAN may require re-verification at the interval shown in the Seller Portal.
6.4 Financial acknowledgements. Recording the two financial acknowledgements in clauses 14.1 and 15.1 is a condition of Full Verification.
6.5 Effect. Accepting this Agreement is not verification and does not by itself grant permission to sell or eligibility for payout.
6.6 Restriction. FAWRAN may restrict or suspend access where verification is incomplete, refused or expired, or where the law requires it.
Article 7 — Provisional Selling Authorisation
Notice: being allowed to sell provisionally is not verification and does not entitle you to payouts. Your earnings are recorded to your account, and their payout is deferred until you complete Full Verification and the payout conditions are met.
7.1 Grant. FAWRAN may, at its discretion and on objective risk and operational criteria, grant a Provisional Selling Authorisation before Full Verification, only where the law permits. It is not granted where verification is refused, suspended or expired, and the Seller has no right to its grant, renewal or extension.
7.2 Not verification. The authorisation is not verification, not an acknowledgement that any legal requirement is met, and not a waiver of any requirement under the law or Article 6. Full Verification remains mandatory, and the Seller must keep working to complete it throughout the authorisation.
7.3 Configurable parameters. For each authorisation, within the maximum limits in Schedule C, FAWRAN sets: the number of Counted Orders at which the grace period starts, or the maximum number of Orders; the length of the grace period; how long the authorisation remains valid before the grace period starts; and the Deadline. No authorisation is open-ended.
7.4 Extension. FAWRAN may extend the Deadline, even after it has passed, within the maximum limits in Schedule C. The total duration of an authorisation, from its grant to its latest Deadline and including every extension before and after the grace period starts, never exceeds the overall maximum in Schedule C. An extension does not reset the count of Counted Orders. Every extension is shown in the Seller Portal.
7.5 What the Seller Portal shows. For each authorisation, in absolute dates and Jordan time, the Seller Portal shows: the type of authorisation; the order limit set and the number of Counted Orders so far; when the grace period starts and how long it lasts; the Deadline; the remaining verification steps; and what happens at the Deadline. FAWRAN sends the reminders stated in Schedule C before the Deadline. The Seller is responsible for following this information. Failure to receive or read a reminder does not extend the Deadline.
7.6 Expiry. If Full Verification is not complete by the Deadline, or, for an authorisation limited by number of Orders, once that number of Counted Orders is reached, whichever occurs first, or if the authorisation is revoked: (a) the Seller's Listings stop accepting new Orders; (b) new Listings cannot be published; and (c) features that increase risk exposure, as shown in the Seller Portal, may be restricted. The account is not deleted automatically, and normal selling resumes when Full Verification is approved.
7.7 Existing obligations continue. Expiry or revocation does not end the Seller's obligation to fulfil existing Orders or cancel and refund them as the law requires, its return, refund, warranty and Buyer-protection obligations, the fees and amounts owed, or FAWRAN's right to recover debts.
7.8 Revocation. FAWRAN may revoke or shorten an authorisation if: (a) the law, a competent authority or payment service providers' requirements so require; (b) there is a reasonable, documented suspicion of fraud, counterfeiting, misuse or unlawful activity; (c) the Seller materially breaches this Agreement or a Supplementary Document; or (d) verification information proves untrue or verification is refused. FAWRAN notifies the Seller of the revocation and its reason unless the law prohibits disclosure, and the Seller may appeal under Article 33. Expiry or revocation is not termination of this Agreement.
7.9 Payout is independent. A Provisional Selling Authorisation, its extension or reaching any number of Orders never creates payout eligibility. Proceeds of Orders are recorded to the Seller in the normal way, and their payout is deferred under Article 17 until the payout conditions in clause 16.4 are met.
7.10 Illustration — not a term. If FAWRAN grants an authorisation in which the grace period starts at the fifth Counted Order and lasts 21 days: the Seller sells normally; when the fifth Counted Order is created the grace period starts and the Seller Portal shows the Deadline; selling continues during the period; if verification is not complete at the Deadline, new Orders stop and existing Orders must still be fulfilled; and the earnings of all Orders are recorded to the Seller but are not paid out until the payout conditions are met. The figures here are an example only; the applicable values are those shown in the Seller Portal.
Article 8 — Items, Listings and authenticity
8.1 Lawful Items. The Seller may list only genuine, safe and lawful Items and must comply with the Prohibited & Restricted Products Policy. An Item that requires a licence or approval may be listed only after it is obtained and recorded in the Seller Portal.
8.2 Accuracy and Seller responsibility. The Seller alone is responsible for the lawfulness, authenticity, quality, safety and accurate description of its Items, and must describe each Item accurately and completely, including its condition, origin, specifications, warranty and any restriction, under the Product Listing Policy.
8.3 Shared product pages. Where several Sellers offer the same Item on a shared page, each must ensure its offer matches that page. FAWRAN may correct, consolidate, classify, translate and improve catalogue content, without being obliged to. The Seller remains responsible for the accuracy of its offer and must report any error in catalogue content without delay; FAWRAN is not liable for its changes to catalogue content except for fraud or gross fault.
8.4 Authenticity and counterfeits. The Seller warrants that its Items are not counterfeit or infringing and must provide proof of authenticity and source on request. On a reasonable complaint from a rights holder or authority, or on a documented suspicion, FAWRAN may remove the Listing, suspend sales, defer payout of the related amounts under Article 17 and inform competent authorities and rights holders. The Seller bears the consequences of selling counterfeit or infringing Items, including refunds, removal, destruction and rights holders' claims.
8.5 Content licence. The Seller grants FAWRAN, its affiliates and its service providers a non-exclusive, royalty-free, worldwide licence, sublicensable to them, to use, host, reproduce, adapt for display, translate and publish the content of its Listings and the trademarks appearing in them, in order to operate and promote the Platform and facilitate sales, for the life of the Listing and afterwards as needed for existing Orders and records. The Seller confirms it holds the rights needed to grant this licence.
8.6 Removal and restriction. FAWRAN may remove, suspend or restrict a Listing that breaches the law, this Agreement or a Supplementary Document, or presents a risk to Buyers or others, stating the reason and the correction required unless the law prohibits disclosure.
Article 9 — Stock, pricing and promotions
9.1 Stock. The Seller must keep its stock data accurate and current and must not accept an Order for an unavailable Item.
9.2 Pricing. The Seller sets its prices and is bound by the price shown when the Order is created, subject to the law, including competition and consumer protection rules. Displayed prices must include or clearly show the applicable tax as the law requires.
9.3 Promotions. The Seller may join FAWRAN promotions, coupons and programmes on their terms and bears the discounts attributed to it. FAWRAN applies a Seller-funded promotion only where the Seller has opted in. FAWRAN may fund promotions on the Seller's Items at its own cost; such promotions do not reduce the amount recorded to the Seller.
Article 10 — Orders, fulfilment and delivery
10.1 Seller of record. The Seller is the seller of record of its Items, and the contract of sale is between the Seller and the Buyer. FAWRAN acts as Platform operator and, where applicable, as fulfilment and delivery service provider and as the Seller's limited agent acting in the Seller's name for the acts listed in clause 16.1. FAWRAN assumes no obligation of the Seller as seller except in writing or where mandatory law requires.
10.2 Processing Orders. The Seller must accept, prepare and deliver or ship Orders within the times and to the standards in the Shipping & Fulfilment Policy for its model, and must pack and label Items as that policy requires.
10.3 Refusal and cancellation by FAWRAN. FAWRAN may refuse, cancel or restrict Orders to protect Buyers, to comply with the law, where the Item is unavailable or unlawful, or on a reasonable suspicion of fraud, and records the reason.
10.4 Cancellation by the Seller. Cancellation by the Seller has the consequences set out in the Supplementary Documents and the Pricing Page.
10.5 FBF stock. FBF stock remains the Seller's property; FAWRAN holds it as bailee for storage and fulfilment, and it is received, stored and removed under the FBF Fee Policy. On termination the Seller must arrange its removal under that policy, failing which the removal or disposal fees stated in it apply. FAWRAN may retain FBF stock until the fees due for its storage and fulfilment are paid, to the extent the law permits. Stock not removed within the period stated in the FBF Fee Policy after notice is dealt with as that policy provides, and any net proceeds are set off under clause 14.4.
10.6 Service providers. FAWRAN may use logistics, technology and financial service providers and remains responsible to the Seller for the obligations it performs through them under this Agreement.
Article 11 — Items in FAWRAN's custody: claims mandate and valuation
11.1 Definition. "FAWRAN-Protected Items" are all Items within FAWRAN's logistics chain, including stock in the warehouses of FAWRAN or its logistics provider; MARKET and FBS shipments received by FAWRAN or on its behalf; outbound parcels; returns; and Items in transit or in the custody of a contracted logistics company or the persons it uses.
11.2 FAWRAN's capacity. The Seller acknowledges that, for these Items, FAWRAN is a responsible custodian towards it and has a direct and legitimate interest in preserving them, investigating what happens to them, and recovering, valuing and claiming for them.
11.3 Special mandate. The Seller grants FAWRAN a special, express and continuing mandate, under which FAWRAN acts in its own right and in the Seller's name as the case requires, in everything relating to any loss, damage, shortage, theft, substitution, improper storage, misdelivery or return incident affecting these Items, specifically to: (a) manage the claim until closed; (b) investigate, gather evidence and request records from the provider and others; (c) set the initial value of the loss under clause 11.5; (d) claim compensation from the provider, its insurer or anyone responsible, administratively and in court; (e) negotiate and settle, including accepting full or partial settlement; (f) receive the compensation and give a discharge for it; (g) set off against the provider's dues and call on its financial guarantees under the contracts; (h) take protective and urgent measures; and (i) appoint experts, investigators and legal advisers for these purposes. FAWRAN will not waive any right of the Seller unrelated to the incident. This mandate survives termination for incidents that occurred while the Agreement was in force. This mandate is granted also in FAWRAN's interest, and the Seller may not revoke or restrict it as regards an existing incident without FAWRAN's consent.
11.4 Claims rules. FAWRAN's claim is not lost or weakened because the Item belongs to the Seller. The Seller must provide what is needed for valuation and recovery within seven (7) Business Days of request and must not settle directly on an incident FAWRAN is handling without its written consent. A settlement made by FAWRAN discharges the responsible party to the extent of the amount actually paid. Compensation is not recovered twice for the same loss; any excess over what FAWRAN paid the Seller plus its proven costs is paid to the Seller. Once FAWRAN has compensated the Seller it is subrogated to the extent paid, and anything the Seller then receives from the insurer or responsible party without FAWRAN's permission belongs to FAWRAN to the extent it paid. FAWRAN claims in its own right for what it pays or becomes liable to pay, as the Seller's agent, and on the basis of its custody and operational responsibility. The Seller's failure to cooperate does not extinguish FAWRAN's right of recourse against the responsible party, although it may delay the Seller's compensation. The Seller's objection to the valuation under clause 11.6 does not impede FAWRAN's recourse against the provider, its insurer or anyone responsible.
11.5 FAWRAN's liability and valuation. (a) FAWRAN is liable for loss of, damage to or shortage of these Items while they are actually in its custody or its logistics provider's, from proof of receipt to proof of delivery or return. (b) FAWRAN is not liable for inherent defects, insufficient packing or preparation by the Seller, wrong data, undisclosed prohibited or dangerous Items, natural shrinkage, acts of the Seller or Buyer, force majeure, or anything after proof of delivery. (c) The initial value is the full market value of the Item or the closest equivalent on the date the loss or damage is discovered or the date compensation is paid, whichever is higher, without unjust enrichment or double recovery. Where there is no reliable market value, FAWRAN sets it by reference to the approved selling price and its average, purchase price, invoice, replacement and import cost, customs, taxes, an expert valuation and any reliable commercial document. (d) For partial damage, compensation is the difference in market value or the reasonable cost of repair, whichever better reflects the damage, not exceeding the full value. If the Item is no longer saleable it is compensated in full and ownership passes to FAWRAN. (e) Proven costs actually borne by the Seller in connection with the incident and not recovered are added. Lost profit and indirect loss are not compensated except for fraud, gross fault or where mandatory law requires. (f) The Seller's compensation does not depend on FAWRAN's recovery from the provider or its insurer.
11.6 Objection and independent expert. FAWRAN's valuation is provisionally binding. The Seller may object, that it is too high or too low, within seven (7) Business Days of notice of the valuation, in writing with objective evidence identifying the error. Failing agreement, the valuation dispute alone is referred to an independent, suitably qualified expert unconnected with either party, chosen by agreement within five (5) Business Days, or failing that appointed by the competent court in Amman at either party's request. The undisputed amount is paid immediately, and FAWRAN may defer payout of the disputed amount until the report. The losing party bears the expert's cost, which the expert apportions where both contributed to the error. The established basis of liability is not reopened.
11.7 Reference. Valuation tables and recoverable costs are detailed in Part 15 of the FBF Fee Policy; in case of conflict this Article prevails.
Article 12 — Consumer protection, returns, refunds and cancellations
12.1 Compliance. The Seller must comply with Consumer Protection Law No. 7 of 2017 and all other consumer and product-safety legislation. Nothing in this Agreement or the Supplementary Documents limits Buyers' statutory rights.
12.2 Information for Buyers. The Seller must give Buyers, including through the information it provides to FAWRAN for display, accurate and complete information about the Item, its total price and its terms of sale, and about its identity as seller and its address, as the law requires.
12.3 Returns, refunds and warranty. The Seller must honour the return, refund and warranty terms published to Buyers, the Seller Returns & Refund Responsibilities and the Seller Warranty Policy, and bears the amounts refunded to Buyers for its Items. A change-of-mind return window does not limit Buyers' statutory rights regarding defects.
12.4 Complaints. The Seller must handle Buyer complaints within the times in the Supplementary Documents and cooperate with FAWRAN and competent authorities. FAWRAN decides Buyer-protection claims under the Supplementary Documents and tells the Seller why, and the Seller may appeal under Article 33.
12.5 Safety and recalls. The Seller must stop selling an Item and inform FAWRAN immediately if it proves unsafe or subject to a recall or an order of a competent authority, and bears the costs of the recall and of the refunds or replacements it entails.
12.6 Integrity. The Seller must not post fake reviews, manipulate reviews or rankings, or mislead Buyers, and must not induce Buyers to complete purchases outside the Platform.
Article 13 — Commissions and service fees
13.1 Fees payable. For each Item sold FAWRAN earns a referral commission, and for services the Seller uses it earns the service fees for the Fulfilment Model, such as delivery, fulfilment, storage, removal, returns processing, value-added services and fees for specific events whose amount or calculation rule is shown on the Pricing Page.
13.2 Source of amounts. Commission rates and fee amounts, bands and categories are set on the Pricing Page (https://seller.fa9ran.com/pricing), and the detailed calculation rules in the two Commission & Fee Policies. This Agreement states no fee amount. Any fee amount stated in a Supplementary Document has no effect where it differs from the Pricing Page.
13.3 Calculation and when payable. The commission is a percentage of the Item's selling price or follows the rule shown for its category; service fees are calculated per unit, shipment, period or service. The commission becomes payable on delivery of the Order unless the Pricing Page states otherwise, and service fees when the service is performed.
13.4 Special Rate Cards. FAWRAN may agree different fee terms with a particular Seller. They bind only if recorded in writing or in the Seller Portal, identifying the Seller, the fees covered and the period, and accepted by both parties, and they prevail over the Pricing Page for the fees they cover.
13.5 Pinning what was published. On each acceptance FAWRAN keeps an electronic fingerprint of the Pricing Page as published at the time of acceptance, and a copy from which it can be retrieved, as evidence of the fees then in force. This record does not fix fees for the future; a transaction is governed by the fees in force on its date under clause 13.7.
13.6 Refunds and reversal. If an Order is refunded in whole or in part, the commission is adjusted in proportion to the amount refunded, unless the Pricing Page or the fee policy states otherwise for a return attributable to the Seller. Fees for services actually performed remain payable.
13.7 Changes. FAWRAN will not increase any fee or introduce a new one without prior notice, through the Seller Portal and by email, of at least the period in Schedule C. This applies to changes on the Pricing Page and in the Commission & Fee Policies, and a change applies only to Orders created and services performed after that period ends, under clause 29.3. Reductions may apply immediately. FAWRAN keeps a record of previous versions of the price schedule and their effective dates.
13.8 Taxes. Fees exclude tax, which is added where the law makes it payable and shown in the Statement. The Seller is responsible for taxes on its sales, except those the law requires FAWRAN to collect.
13.9 No undisclosed charges. FAWRAN charges nothing not provided for in this Agreement, a Supplementary Document or the Pricing Page, and nothing for payment methods or currency conversion unless shown on the Pricing Page.
13.10 Invoices. The Seller issues to Buyers the invoices and receipts the law requires for its sales, and FAWRAN issues to the Seller tax invoices for its fees where the law requires.
Article 14 — Deduction authorisation and financial obligations
14.1 Authorisation to deduct. The Seller authorises FAWRAN to deduct from Proceeds and from the Seller Balance, before paying out the net amount: fees under Article 13; refunds; chargebacks attributable to the Seller under Article 18; Buyer-protection, return and warranty amounts under the Supplementary Documents; tax on fees; and any other amount owed by the Seller under this Agreement. This authorisation is given by accepting this Agreement and is recorded as a separate financial acknowledgement.
14.2 Transparency. Every deduction appears in the Statement with its date, amount, the Order or reason and its basis. FAWRAN deducts no penalty or charge not provided for.
14.3 Corrections and objections. FAWRAN corrects errors in both directions and shows each correction in the Statement. The Seller may object to any entry within the period in Schedule C; FAWRAN considers the objection in good faith and gives reasons for its decision. Expiry of the period does not prevent correction of a manifest error. An entry not objected to within that period is deemed accepted by the Seller, without prejudice to either party's right to correct a manifest error.
14.4 Agreed set-off. The parties agree, under the Civil Code provisions on agreed set-off, that FAWRAN may set off any amount the Seller owes under this Agreement against any amount payable to the Seller under it, whether or not the two debts have the same cause, are of the same kind or have fallen due, in accordance with Articles 14 to 17. Set-off does not prejudice rights that third parties have acquired by law.
Article 15 — Negative balance and recovery
15.1 Debt. If deductions exceed the Seller Balance, the difference is a debt owed by the Seller to FAWRAN, shown in the Seller Portal with its components. Acceptance of this clause is recorded as a separate financial acknowledgement.
15.2 Order of recovery. FAWRAN recovers the debt: (a) from later Proceeds; (b) then from any reserve shown in the Seller Portal; (c) then by set-off against amounts payable to another store of the same Seller (the same natural or legal person); (d) then, or at any time once thirty (30) days have passed since the debt arose without its being recovered under (a) to (c), by demanding direct payment, which the Seller must make within the period in Schedule C from the demand. The Seller is in default by the mere expiry of that period, without the need for formal notice of default (إعذار). This order does not prevent FAWRAN from claiming the debt in court.
15.3 While a debt is outstanding. FAWRAN sets off the debt against the Seller's available balance under clause 14.4, or defers payout of an amount equal to the outstanding debt only; it may not defer payout of more than that debt, and may restrict features that increase risk exposure after notice. An amount under review is not treated as an unpaid debt while the review is pending.
15.4 Stored payment method. This Agreement does not by itself authorise any charge to a card or other payment method the Seller has stored. Such a charge may be made only: (a) under a separate, optional authorisation the Seller gives with its own checkbox, not combined with any other consent, whose text identifies the payment method, the purpose and the maximum amount; (b) after the debt has become payable under clause 15.2(d) and remains unpaid; (c) for no more than the outstanding debt; (d) after notice to the Seller at least three (3) Business Days before the charge; and (e) by an authorised FAWRAN employee, never automatically. The Seller may withdraw the authorisation at any time in the Seller Portal or by notice to the contact point in Schedule A, without affecting charges already made. An authorisation is never a condition of registration, verification, selling or payout. An authorisation recorded before this version took effect may be relied on only if it was given by its own checkbox and the Seller has confirmed it after this version took effect.
Article 16 — Collection, settlement and payout eligibility
16.1 Collection in the Seller's name. The Seller appoints FAWRAN as its limited special agent, acting in the Seller's name and for its account, specifically to: (a) collect the price of Orders from Buyers through the payment service providers FAWRAN engages, or in cash through delivery agents for cash on delivery; (b) refund the price in whole or in part where required by law, by the terms published to Buyers, by the Supplementary Documents or by a Buyer-protection decision under clause 12.4; (c) accept returns and cancel Orders in the cases set out in this Agreement and the Supplementary Documents; and (d) settle a Buyer's complaint by compromise for an amount not exceeding the value of the Order concerned. The Seller authorises FAWRAN to perform these acts through the payment service providers, delivery agents and affiliates it appoints, for whose acts towards the Seller FAWRAN remains responsible. This mandate is given also in the interest of FAWRAN and of Buyers, and the Seller may not revoke or restrict it for Orders already created or while this Agreement is in force. Collection discharges the Buyer to the extent of the amount collected. Nothing in this Agreement states or implies that FAWRAN is licensed to provide payment services, and the Seller Balance is a book entry of the amount payable to the Seller, not a deposit, electronic wallet or stored value.
16.2 Recording and currency. Amounts due to the Seller are recorded in the Statement in Jordanian dinars at the dinar selling price. The Seller is not charged the cost of payment processing or currency conversion unless shown on the Pricing Page.
16.3 Availability. Amounts move from pending to available after the period in Schedule C, or any shorter period shown on the Pricing Page.
16.4 Payout conditions. The available balance is paid out only when all of the following are met, which FAWRAN checks when a payout is requested, approved and executed: (a) Full Verification is approved — no Provisional Selling Authorisation or other selling exception satisfies this condition; (b) no deferral under ground (c), (d) or (f) of clause 17.1 applies to the amount; (c) the store is not suspended, under review or deleted, and its owner is not pending account deletion; and (d) a payout destination in the Seller's own name is verified.
16.5 Payout conditions do not change the balance. The payout conditions decide only whether a payout may be made now; they never reduce the Seller Balance. An amount not paid out remains recorded to the Seller.
16.6 Payout method. The eligible available balance is paid out in Jordanian dinars to a bank account or instant-payment identifier in the Seller's own name, at least as often as stated in Schedule C and subject to the minimum stated there. A failed transfer is returned to the available balance. Timing may be affected by bank processing times and holidays.
16.7 FBS cash on delivery. Where the Seller collects cash itself, the fees on those Orders are recorded as a debt and recovered under Article 15.
16.8 Statements. FAWRAN provides Statements in the Seller Portal and shows the reason and date of each Deferred Balance.
Article 17 — Payout deferral and release
17.1 Exhaustive grounds. FAWRAN may defer payout of all or part of the Seller Balance only on one or more of the following grounds, each documented in writing: (a) Full Verification is not complete; (b) the payout destination, or that it is in the Seller's name, is not verified; (c) identity, sanctions or anti-money-laundering screening is incomplete, or the law requires further review; (d) the law, a court, a competent authority or a payment service provider requires the deferral; (e) the amount relates to an Order still within its delivery, return, claim or chargeback period; (f) there is a reasonable, documented suspicion of fraud, misuse, counterfeiting or unlawful activity connected with the amount; (g) a debt is outstanding; (h) the amount is subject to a pending dispute or review; (i) tax information the law requires before payment has not been provided; (j) the store is suspended, under review or deleted, or its owner is pending account deletion, or the Agreement has ended under clause 25.4.
17.2 Proportionality. A deferral under (e) is limited to the amounts of the Orders concerned; under (f) to the amounts connected with the suspicion; under (g) to the amount of the debt; and under (h) to the disputed amount. A deferral under (a), (b), (c), (d), (i) or (j) may cover the whole Seller Balance.
17.3 Selling permission, verification and payout are distinct. Permission to sell, including a Provisional Selling Authorisation, is one thing; approval of Full Verification is a second; payout eligibility is a third. Permission to sell, its extension, fulfilling Orders or reaching a number of Orders removes no deferral ground and satisfies no payout condition.
17.4 Notice. FAWRAN notifies the Seller within the period in Schedule C, through the Seller Portal or by email, of the deferral, its ground, the amount affected, the steps to release and the next review date, except what the law or a competent authority prohibits disclosing or what would prejudice a pending investigation, in which case it sends the notice as soon as the impediment ends.
17.5 Release. A Deferred Balance is released in the next payout cycle once the payout conditions are met and no ground in clause 17.1 applies to it. FAWRAN ends the deferral within the period in Schedule C after its ground ceases, and may first make the authorised deductions.
17.6 Maximum duration and review. A deferral under (e), (f), (h) or (j) may not exceed the maximum period in Schedule C from its notice. FAWRAN may continue it once, for no more than a further equal period, by informing the Seller in writing before it expires of the specific reason for continuing and the next review date. After that, it may continue only for the amount of a specific chargeback, claim, dispute, investigation or proceeding that is still pending, and only until it ends. A deferral under (a), (b) or (i) lasts until the Seller completes the missing step; under (c) or (d) for as long as the law, authority or provider requires; and under (g) until the debt is paid. FAWRAN reviews each deferral at the interval in Schedule C. No deferral is open-ended, arbitrary or a penalty.
17.7 Exceptional early release. FAWRAN may, exceptionally and in writing, release all or part of a Deferred Balance early, and may attach conditions such as an amount cap; the release is approved by an authorised officer and recorded. An exceptional release never overrides identity-verification, anti-money-laundering, sanctions or payment-service-provider requirements, never waives the Seller's obligation to complete verification, creates no precedent or recurring right, and amounts released remain subject to refunds, chargebacks and debts under Articles 14 and 15.
17.8 No forfeiture. A deferral only postpones payout. The Deferred Balance stays recorded to the Seller and appears in the Statement; deferral is never forfeiture, a penalty or a transfer of ownership, and FAWRAN charges nothing for it. If Full Verification is refused, or this Agreement ends without Full Verification having been approved, the balance after authorised deductions remains recorded to the Seller and, by way of exception to clause 16.4(a), is paid to an account in the Seller's own name once FAWRAN has verified the Seller's identity and that account and the screening under clause 17.1(c) is complete, unless the law, a competent authority or a payment service provider's requirements prevent payment, in which case it is dealt with as they require. No interest accrues to either party on recorded, pending, available or deferred amounts, to the extent the law permits.
17.9 Review of a deferral. The Seller may request a review of a deferral in writing with evidence, and FAWRAN replies with reasons within the period in Schedule C. The request does not by itself lift the deferral and does not prevent an appeal or court proceedings.
Article 18 — Chargebacks and claims
18.1 Attribution. A chargeback is attributable to the Seller if it arises from the Item, its description, its delivery where the Seller fulfils, or the Seller's conduct; it is not attributable if caused by FAWRAN's payment processing, FAWRAN's custody of the Item or by fraudulent use of a payment instrument unconnected with the Seller, provided that, where the Seller delivers the Order itself, it delivered to the address in the Order and keeps the proof of delivery required by the Shipping & Fulfilment Policy. Only a chargeback attributable to the Seller, plus any fee the payment provider charges for it, is deducted.
18.2 Evidence. The Seller must provide the evidence requested to contest a chargeback within the period in Schedule C, failing which FAWRAN may accept the chargeback.
Article 19 — Fraud prevention, compliance, investigation and audit
19.1 Measures. FAWRAN applies fraud-prevention, risk-assessment and misuse-detection measures and is not obliged to disclose their details. On a reasonable suspicion of fraud, deception, manipulation of reviews, rankings, prices or promotions, or a material breach, it may cancel Orders, remove Listings, restrict or suspend the account, require further verification and defer payout under Article 17.
19.2 Legal compliance. FAWRAN may take any action required by anti-money-laundering and counter-terrorist-financing law, sanctions lists or orders of competent authorities, and is not obliged to disclose the reason where the law prohibits it.
19.3 Cooperation and audit. On reasonable request the Seller provides the records, documents and information needed to verify its compliance, investigate a complaint or meet a legal obligation, and FAWRAN may audit its compliance with this Agreement, including the source, authenticity and safety of Items and tax compliance, with the Seller's cooperation. If the audit reveals a material breach, the Seller bears its reasonable cost.
Article 20 — Performance standards, platform rights and service availability
20.1 Performance standards. The Seller must meet the performance standards published in the Seller Portal or the Supplementary Documents, such as cancellation, late-dispatch, defect, return and Buyer-satisfaction rates. Failing them may lead to guidance, reduced visibility, restriction of models or features, or suspension under Article 24.
20.2 Platform rights. Within the law and this Agreement, FAWRAN may decide the Platform's design and features, eligibility for models, categories and programmes, the ranking and display of Items, the review and classification of Listings and operational limits, and may take measures to protect Buyers, sellers, the Platform and others. FAWRAN and its affiliates may also sell items as principal on the Platform; that activity is outside this Agreement.
20.3 Service availability. FAWRAN uses reasonable care in operating the Platform but does not guarantee uninterrupted or error-free availability, or any sales volume, visibility or result. It may suspend the Platform or part of it temporarily for maintenance or for security or legal reasons, with reasonable prior notice where possible.
20.4 Regulatory requirements. Where a law, regulation, instruction or decision of a competent authority, including any e-commerce, personal-data or payment-services rules, imposes a new requirement on sellers or on the Platform, FAWRAN may require the Seller to meet it, including by providing registrations, documents or display information, from the date the requirement applies, with notice under clause 29.2.
Article 21 — Indemnity
21.1 Seller's indemnity. To the extent the law permits, the Seller indemnifies, defends and holds harmless FAWRAN, its affiliates and their directors, employees and agents against all claims, liabilities, damages, losses, fines and reasonable expenses, including reasonable legal fees, arising from: (a) its Items, Listings or content, including product-safety and defect claims and supplier liability towards consumers; (b) infringement of intellectual property rights or the sale of counterfeit Items; (c) its breach of this Agreement, a Supplementary Document or the law; (d) its tax affairs; or (e) its fraud or misconduct, or that of its authorised users; except to the extent that the loss results from the fault of FAWRAN or of persons for whom it is responsible.
21.2 Handling claims. FAWRAN notifies the Seller of a claim within a reasonable time and may conduct the defence itself, with the Seller's cooperation. The Seller may not settle on terms that bind FAWRAN or contain an admission on its behalf without its written consent.
21.3 FAWRAN's indemnity. FAWRAN indemnifies the Seller against third-party claims alleging that the Platform's own software infringes a third party's intellectual property rights, unless the claim arises from the Seller's content or Items.
Article 22 — Limitation of liability
22.1 Disclaimer. To the extent the law permits, the Platform and services are provided "as is" and "as available", without warranties not stated in this Agreement.
22.2 Exclusion. Subject to clause 22.4, FAWRAN is not liable for indirect or consequential loss, or for loss of profit, revenue, opportunity, reputation or data, nor for acts of Buyers or of third parties other than the service providers it uses under clause 10.6, except as mandatory law requires.
22.3 Cap. Subject to clause 22.4, FAWRAN's total liability to the Seller for all claims arising in any twelve (12) month period does not exceed the greater of: (a) the total fees the Seller paid FAWRAN in the three (3) months before the event giving rise to the claim; or (b) two hundred and fifty (250) Jordanian dinars.
22.4 Not subject to the exclusion or the cap. Clauses 22.2 and 22.3 do not apply to: (a) loss of, damage to or shortage of FAWRAN-Protected Items while in custody, related claims and compensation due to the Seller under Article 11; (b) amounts FAWRAN pays or becomes liable to pay because of its logistics provider's acts; (c) fraud or gross fault; (d) FAWRAN's breach of confidentiality or personal-data protection; (e) the Seller's right to its recorded Seller Balance, including any Deferred Balance; or (f) any liability that mandatory law does not permit to be limited or excluded, including liability for bodily harm.
22.5 Downtime. FAWRAN is not liable for interruption or delay of the Platform caused by announced maintenance or by causes beyond its reasonable control.
Article 23 — Force majeure
23.1 Neither party is liable for delay or failure in performing an obligation, other than paying amounts due, caused by an event beyond its reasonable control that could not have been foreseen or prevented, such as natural disasters, epidemics, war, unrest, acts of authorities, or outages of public communications, payment systems or logistics services. Affected obligations are suspended for the duration of the event, and the affected party informs the other without delay. If the event lasts more than sixty (60) days, either party may terminate by written notice. This clause does not affect the rules the law lays down for exceptional circumstances.
Article 24 — Suspension, restriction and reinstatement
24.1 Grounds. FAWRAN may, with immediate effect, suspend or restrict the Seller's access in whole or in part, or suspend particular Listings, where: (a) the Seller materially breaches this Agreement or a Supplementary Document, or repeats a breach after warning; (b) there is a reasonable, documented suspicion of fraud, counterfeiting, infringement or unlawful conduct; (c) verification is incomplete, expired or refused; (d) the Seller fails the performance standards after warning; (e) the Seller's conduct creates a risk to Buyers, others or the Platform; or (f) the law or a competent authority requires it.
24.2 Notice and reasons. FAWRAN tells the Seller the reason and, where the ground can be remedied, the corrective action required, unless the law prohibits disclosure.
24.3 Reinstatement. The Seller may request reinstatement by submitting a plan addressing the ground, with the evidence reasonably requested. FAWRAN assesses the request within a reasonable time and may restore access fully, partially or on conditions, such as a monitoring period or limitation to particular models or categories, or refuse with reasons. It may refuse where the ground cannot be remedied, the Seller has been reinstated before on the same ground, or reinstatement would expose Buyers or the Platform to unreasonable risk. The request does not suspend the measure in place.
Article 25 — Term, termination and effects
25.1 Term. This Agreement starts when the Seller accepts it and continues until terminated.
25.2 Termination for convenience. Either party may terminate by thirty (30) days' written notice.
25.3 Immediate termination. FAWRAN may terminate with immediate effect by written notice if: (a) the Seller commits a material breach not remedied within the period set in a warning, or one that cannot be remedied; (b) fraud, counterfeiting or unlawful activity is established; (c) the Seller provided materially untrue verification information; or (d) the law or a competent authority requires it. The parties expressly agree that in these cases this Agreement is deemed rescinded of itself from the date of the notice, without the need for a court judgment, and they expressly waive formal notice of default (إعذار), without prejudice to the Seller's right to appeal and to go to court.
25.4 Effect of termination and existing Orders. On termination: Listings are removed and new Orders stop; the Seller remains bound to fulfil existing Orders or cancel and refund them as the law requires, and by its existing return, refund and warranty obligations; amounts it owes become payable; FBF stock is removed under the FBF Fee Policy; and final settlement takes place under Articles 14 to 17. FAWRAN may defer payout of what is reasonably needed to cover expected refunds, chargebacks and claims, as a deferral under ground (j) of clause 17.1 subject to the maximum period in Schedule C, after which the remainder is paid with a final settlement statement.
25.5 Survival. Provisions that by their nature survive termination remain in force, including the definitions; fees, deductions, set-off and debts; Article 11; the indemnity; the limitation of liability; confidentiality; data protection; intellectual property; records; and governing law and dispute resolution.
Article 26 — Personal data protection
26.1 Law. Each party complies with Personal Data Protection Law No. 24 of 2023 and the regulations and instructions issued under it.
26.2 Buyer data. FAWRAN gives the Seller Buyer data only as needed to fulfil Orders, handle returns and provide support. The Seller must process it for those purposes alone, protect it with appropriate measures, not use it for marketing or anything else without a legal basis, not keep it longer than necessary and not transfer it unlawfully. As regards that data, the Seller is an independent controller bound by the controller's obligations under the law, is responsible for its processing of that data and indemnifies FAWRAN for any breach.
26.3 Seller data. FAWRAN processes the personal data of the Seller and its users under the privacy notice published at https://seller.fa9ran.com/privacy, which sets out the purposes, legal bases, recipients and service providers, transfers outside the Kingdom, retention periods, rights and contact point. The Seller acknowledges having read it. Where the law requires specific consent, FAWRAN requests it separately.
26.4 Security incidents. Each party informs the other without delay, and in any case within twenty-four (24) hours of discovering it, of any security incident affecting personal data received from it, and cooperates with the other in the measures and notifications the law requires.
Article 27 — Confidentiality
27.1 Each party keeps confidential the other's non-public information obtained in connection with this Agreement, uses it only for its purposes and protects it with reasonable measures, except where disclosure is: (a) required by law or requested by a competent authority; (b) to professional advisers, auditors, insurers or financiers bound by confidentiality; (c) by FAWRAN to its affiliates, payment service providers, logistics and technology providers and delivery agents, to the extent needed to perform or enforce this Agreement and subject to equivalent confidentiality; or (d) to rights holders and competent authorities under clauses 8.4 and 19.2. The terms of Special Rate Cards and non-public information about the Platform, its systems and its security and control measures are FAWRAN's confidential information. These obligations continue for three (3) years after termination, and without time limit for trade secrets. This clause does not affect Article 26 on personal data.
Article 28 — FAWRAN's intellectual property and use of the brand
28.1 FAWRAN's rights. The Platform, its software, design, compiled data and classifications, the «فورا» / FAWRAN mark and FAWRAN's other marks and content remain the property of FAWRAN or its licensors. This Agreement grants the Seller no right in them other than a limited right to use the Platform under it.
28.2 Use of the brand. The Seller may use FAWRAN's name or mark only under published guidelines or with prior written consent, and never in a way that suggests partnership, representation or sponsorship. It may not copy the Platform, scrape its data, reverse-engineer it or interfere with its operation.
Article 29 — Amendments
29.1 Publication. FAWRAN publishes each new version of this Agreement or any Supplementary Document with its version number, effective date and a summary of changes, and keeps previous versions available to read.
29.2 Prior notice. FAWRAN notifies the Seller of a material change, through the Seller Portal and by email, at least the period in Schedule C before it takes effect. Material changes include increasing or introducing fees, changing the rules on payout deferral, deductions, set-off or liability, and changing the contracting party. A change required by the law or a competent authority, or needed to protect Buyers or the security of the Platform, may take effect immediately, with notice to the Seller as soon as possible.
29.3 Express acceptance. Express acceptance in the Seller Portal is required for every version of this Agreement, and for every version of a Supplementary Document that grants FAWRAN authority to act in the Seller's name or changes the allocation of liability. A change to the Pricing Page or to the Commission & Fee Policies, including a fee increase or a new fee, does not require express acceptance. It applies to Orders created and services performed after the notice period in clause 13.7 ends, and a Seller that does not agree may remove the Listings concerned or terminate under clause 29.5 before the change takes effect. Continued use is never acceptance of a version that requires express acceptance. Other changes to Supplementary Documents take effect when the notice period ends.
29.4 Before re-acceptance. Acceptance of an earlier version is never acceptance of a later one. Until the Seller accepts a version requiring express acceptance, the version it last accepted continues to govern Orders already created and amounts already recorded; FAWRAN does not suspend the account or defer payout of settled amounts merely because acceptance is outstanding, and may, after the grace period shown in the Seller Portal, restrict only the features linked to the new version. No version applies retroactively.
29.5 Right to terminate. A Seller that does not accept a material change may terminate this Agreement before it takes effect, without any termination charge.
Article 30 — Notices, communications and electronic records
30.1 Electronic dealing. The Seller agrees to contract and receive notices electronically. The parties agree that signing in to the Seller's account with its credentials and any one-time code FAWRAN requires is the agreed verification procedure for attributing an electronic message to the Seller, and that the Seller's electronic acceptance through that account is its signature under Electronic Transactions Law No. 15 of 2015.
30.2 Notices. Notices to the Seller are valid when sent to its registered contact details or published in the Seller Portal; notices to FAWRAN go to the contact point in Schedule A. A notice sent by email is deemed received when sent, unless a delivery-failure message is received, and a notice published in the Seller Portal is deemed received when published.
30.3 Records. FAWRAN's electronic records of acceptance — including the text accepted, its version, fingerprint and language, the time of acceptance, the identity of the person accepting and device data — and its records of Orders, fees, payments and communications are evidence of their contents, and either party may prove otherwise. FAWRAN makes a copy of the accepted text available to the Seller. FAWRAN keeps verification and transaction records for the period the law requires, even after account deletion or termination.
Article 31 — Assignment
31.1 The Seller may not assign this Agreement or any right or obligation under it without FAWRAN's prior written consent. The Seller consents in advance to FAWRAN assigning this Agreement or its rights under it to an affiliate or to a successor to the Platform or in a merger or business sale, on notice to the Seller, provided the assignee is bound by it.
Article 32 — General provisions
32.1 Entire agreement. This Agreement and the Supplementary Documents are the entire agreement between the parties on selling through the Platform and supersede any earlier understanding on that subject, without affecting rights and obligations that arose under an earlier version.
32.2 Severability. If a provision is invalid or unenforceable, it applies to the minimum lawful extent closest to its purpose, and the remaining provisions remain in force.
32.3 No waiver. Failure or delay in exercising a right is not a waiver of it.
32.4 Independent parties. This Agreement creates no partnership, joint venture, employment or general agency; FAWRAN acts in the Seller's name only for the acts expressly specified in it.
32.5 No third-party rights. This Agreement creates no rights for anyone other than the parties, except the persons covered by the indemnity in Article 21.
32.6 Language. This Agreement is made in Arabic and English; the Arabic text is controlling.
32.7 Transition from earlier versions. On the Seller's acceptance of this version: (a) it governs Orders created, services performed and amounts recorded from the acceptance; (b) any Provisional Selling Authorisation or selling exception granted earlier continues on the terms shown in the Seller Portal and is subject to Article 7 and the maximum limits in Schedule C; (c) balances, debts and deferrals existing at acceptance are dealt with under Articles 14 to 17; and (d) any earlier authorisation to charge a stored payment method applies only as clause 15.4 provides.
Article 33 — Governing law, appeals and dispute resolution
33.1 Law. This Agreement and any dispute arising out of or in connection with it, including non-contractual disputes, are governed by the laws of the Hashemite Kingdom of Jordan.
33.2 Appeals. The Seller may appeal, through the Seller Portal or the contact point in Schedule A and with supporting evidence, against any suspension, restriction, Listing removal, payout deferral, Buyer-protection decision, revocation of a Provisional Selling Authorisation or termination. FAWRAN replies with reasons within the period in Schedule C. An appeal does not suspend protective measures.
33.3 Amicable settlement and jurisdiction. The parties will try to settle a dispute by good-faith negotiation for thirty (30) days from written notice, then by mediation in Jordan if they agree. Failing settlement, the competent courts of Amman have exclusive jurisdiction. Either party may seek interim and urgent relief at any time.
33.4 Mandatory law. Nothing in this Agreement excludes a right or obligation that mandatory Jordanian law does not allow to be excluded, and each provision applies to the extent the law permits.
Article 34 — Seller's acknowledgement
34.1 Acceptance is by a single checkbox, not pre-ticked, with the Article 7 notice displayed above it. Its text:
☐ I confirm that I have read, understood and agree to the FAWRAN Seller Agreement & Selling Terms and the policies and documents referred to in it, including the provisional selling authorisation and payout deferral provisions, FAWRAN's authorisation to deduct and set off, and my obligation to repay any negative balance.
34.2 Ticking the box records: acceptance of this Agreement and the Supplementary Documents in the versions displayed; the two financial acknowledgements in clauses 14.1 and 15.1; and the fingerprint and copy of the Pricing Page as published at acceptance (clause 13.5). It records no consent to personal-data processing and no authorisation to charge a stored payment method.
